As used herein, “Confidential Information” means the original wind data、topographic maps and feasibility research reports related to the Project provided by the Disclosing Party. 本协议中“机密信息”是指披露方告知接收方的对于项目的原始测风数据、地形图和项目的可行性研究报告。 The term “Confidential Information” does not include the following information: a) The information has been already known by the Receiving Party before receive “Confidential Information” from the Disclosing Party (with full right to disclose); b) The information has or is becoming publicly available other than by its breach of obligations hereunder; c) The information provided to the Receiving Party by the third Party legally; or d) The technology developed by the Receiving Party independently, without use the technical information from the Disclosing Party. 上述所称的“机密信息”不包括如下的信息： a) 接收方从披露方接收到机密信息之前已经熟知的信息（并有充分的权利进行披露）； b) 非因接收方违反本协议之约定，已经或正在成为公众可以获取的信息； c) 由第三方合法提供给接收方的信息； d) 未使用披露方的技术资料，由接收方独立开发出来的技术。 The Receiving Party has the burden of proving any of the above exceptions. 接收方有义务证明任何上述例外情况。 2. The confidentiality obligation shall apply in particular, but not be limited to, the following items: 保密义务应特别适用但不限于下列项目： a) Use of technology to design and manufacture wind turbine generators and its components (including towers). 使用工艺技术设计和制造风力涡轮发电机及其零件（包括塔筒）。 b) The drawings, models, specifications, standards, procedures, manuals and in general any other information developed by any of the parties hereto with respect to the Project, whether it is produced by any of the parties hereto or by a third party at the instruction of any of the parties hereto. 制图，样式，规格，标准，程序，手册和由与项目有关的一方因此研发出来的任何其他信息，无论是由上述双方的任何一方在此基础上产生的或是由第叁方在上述双方的任何一方的指导下产生的。 c) The reports, records and any kind of documentation having an economic, technical, financial, commercial, legal or other nature which is related to the Project and has been produced by any of the parties hereto or their respective subcontractors, directly or through their parent companies or affiliates. 和项目有关并且已经被本合同双方的任何一方产生或他们各自的转包商，直接的或通过他们的母公司或者分公司产生的含有经济、技术、财务、商业、法律或其他性质的信息、报告、记录和任何种类的文档。 d) The confidentiality undertaking shall be extended to all inventions, derivatives and results deriving from the use and/or development of the information disclosed. 保密承诺将适用于所有的发明创造及其衍生物并且包括由于使用和/或开发被透露信息而取得的成果。 Both Parties acknowledge that the Confidential Information brings or will bring economic benefits to the Disclosing Party. 双方承认机密信息会给或将会给披露方带来经济上的利益。 3. The Receiving Party agrees: 接收方同意： a) to receive, treat and keep such Confidential Information received from the Disclosing Party in the strictest confidence and in good faith, and shall be responsible for maintaining the confidentiality; 按照最严格的保密等级从披露方接收上述机密信息，做好这些机密信息的接收、处理和保密工作，并对保持机密信息的机密性负责； b) to refrain from using it directly or indirectly otherwise than for the development of the Project in favor of the Disclosing Party; 除为了披露方利益开发项目而使用机密信息外，禁止直接或间接地使用机密信息； c) to limit the disclosure of such Confidential Information to trusted personnel in its organization who, having a need to know said Confidential Information, will be obliged to maintain it confidential; 为了限制上述机密信息的泄露，对于其机构内确有必要了解上述机密信息的工作人员，应使其承担保密义务； d) not to directly or indirectly disclose or distribute or permit to be disclosed or distributed such Confidential Information to any other person, organization or entity without prior written consent of the Disclosing Party. 在没有披露方事先书面同意的情况下，不得以任何直接或者间接的方式透露、传递，或者允许其他人透露或者传递机密信息给任何其他个人、机构或公司。 e) without the prior written consent of the Disclosing Party, not in any way use such Confidential Information or any knowledge or information which it may acquire as a result of receiving such Confidential Information in any way which is in furtherance of competition with the Disclosing Party or which is otherwise directly or indirectly detrimental to the interests of the Disclosing Party or for any purpose whatsoever other than for the purpose of Project. 在没有披露方事先书面同意的情况下，不得以任何方式使用机密信息或者任何作为接收机密信息结果获得的知识或者信息，从而导致加剧同披露方的竞争或者直接或间接损害披露方的利益，或者出于任何非项目目的而进行使用。 f) without the prior written consent of the Disclosing Party, not to copy reproduce or store for later retrieval in any way or permit to be copied, reproduced or stored for later retrieval in any way such Confidential Information or any part of such Confidential information. 在没有披露方事先书面同意的情况下，不得以任何方式复制，存储或者允许其他人复制、存储机密信息以在将来复原后再次使用。 4. The Receiving Party acknowledges that such Confidential Information has been and will be provided to it or for its benefit solely for the purpose of developing and evaluating the Project and the Receiving Party agrees that: 接收方承诺其了解到，机密信息已经并且将仅以开发和评价项目目的向其披露，接收方在此同意： (a ) it shall be solely responsible for its own assessment and evaluation of such Confidential Information 自行负责其对于机密信息作出的评估及评价。 (b) none of the entry into of this Agreement, the provision of such Confidential Information to or for the benefit of the Receiving Party nor anything contained in such Confidential Information shall constitute a warranty or representation (expressed or implied) as to the accuracy, adequacy or completeness of such Confidential Information; and 签订本协议，机密信息中有利于接收方的规定或者机密信息中的任何内容均不得视为对于机密信息准确性、充分性及完整性的任何明示或者暗示地保证或者陈述。 (c) the Disclosing Party shall not have any liability to the Receiving Party resulting from the Receiving Party’s use of such Confidential Information. 披露方不对接收方使用机密信息导致的结果承担任何责任。 5. Nothing in this Agreement shall be deemed or interpreted as a granting by the Disclosing Party of any license or technology transfer or the contracting of development services with the Receiving Party. Likewise nothing in this Agreement shall be construed as a commitment from the Disclosing Party beyond the stipulations contained herein. This Agreement does not confer to the Receiving Party the right to obtain any information or documentation from the Disclosing Party if the Disclosing Party decides to terminate any conversations or negotiations initiated, in which case the Receiving Party assumes the obligation to keep strictly confidential any information received or developed up to the date of such termination. 本协议中包含的任何规定均不得视为或者解释为披露方通过许可证、技术转让或者开发服务合同而给予接收方一个许可。同样本协议中包含的任何规定均不得被解释为披露方在此做出超过本协议规定的承诺。本协议并未授予接收方对于从披露方获得任何信息或文件的权利，如果披露方决定终止任何开始的会谈或谈判，在这种情况下，接收方承担对其得到的任何信息或截至到会谈或谈判终止之日的信息严格保密的义务。 6. The Confidential Information shall remain the sole property of the Disclosing Party. The Receiving Party shall not either directly or indirectly assume any ownership or property right or interest to the Confidential Information or any derivative thereof. 机密信息属于披露方的唯一专有财产。接收方不能直接的或间接的享有任何对于机密信息或其衍生物的所有权、财产权利或者利益。 7. The Receiving Party shall be liable for and indemnifies the Disclosing Party from and against losses which incurs or arises from or by virtue of the unauthorized disclosure or use of such Confidential Information by the Receiving Party or by any of the Receiving Party’s representatives or any of such persons otherwise being in breach of any of the provisions of this agreement. 接收方应当对披露方因接收方或其代表非经授权对于机密信息的披露，使用或者其他对于本协议的违反而产生、招致的损失承担责任并且进行赔偿。 8. The Receiving Party acknowledges and accepts that the value of the Confidential Information to the Disclosing Party is unique and substantial. The parties agree that, in the event of an actual or threatened violation of this Agreement, the Disclosing Party will be entitled to the enforcement of this Agreement by injunctive relief, specific performance or other relief. 接收方承认并同意机密信息的价值对于披露方是独特的和重要的，双方一致同意，如果出现违反本协议或者有违反本协议的可能，披露方将有权通过特定履行或其他方式强制执行本协议。 9. All information furnished by the Disclosing Party shall be immediately returned or destroyed by the Receiving Party upon request of the Disclosing Party. 应披露方要求，由披露方提供的所有信息应由接收方立即返还或者销毁。 10. The terms and conditions of this Agreement may not be modified or waived except in writing by authorized representatives of each of the Parties. 未经双方授权代表书面认可，本协议的条款和条件不得修改或废止。 11. Neither party may assign any of its rights or obligations under this agreement without the prior written consent of the other party. 任何一方未经对方事先书面同意，不得转让其在本协议项下的任何权利和义务。 12. This Agreement shall be effective as of the date of signature and stamp by the Parties hereto and shall remain in force for twenty (20) years. This Agreement is made in English and Chinese in duplicate with each party holding one original. In case of any discrepancy between the English and Chinese versions, the English version shall prevail. 此协议自双方签字盖章之日起生效并且有效期二十年。本协议语言为中文和英文，一式二份，双方各持一份。如果中文文本与英文文本之间不一致，则以英文文本为准。 13. All disputes arising from, or in connection with the execution of the Agreement, shall be settled through friendly discussion between the two parties. In case no settlement is reached, the disputes shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC) for Arbitration. The Tribunal shall be composed of three arbitrators. The arbitration shall be conducted in Beijing in accordance with CIETAC arbitration rules and the rendered award is final and binding on both parties and the applicable law is the laws of PRC. The arbitration shall be held in English language. In the course of arbitration, both parties shall continue to perform the Agreement with the exception of the terms in dispute. 任何由本协议的签订引起或与本协议的签订有关之争议均应通过双方友好协商解决。若经协商不能解决，则争议应提交中国国际经济贸易仲裁委员会（颁滨贰罢础颁）进行仲裁。仲裁庭应由叁名仲裁员组成。仲裁应在北京并依照颁滨贰罢础颁规则进行。仲裁裁决为终局裁决并对双方均具有约束力。适用法律为中国法律。仲裁使用的语言为英语。在仲裁期间，除有争议的条款外，双方应继续履行本协议。 14.
